LEGAL AGREEMENT

eSolution Online operates   {eSolutionOnline.com}   on the Internet and offers its customers and guest users hosting of WWW sites on the Products Page and Specialty Shops of the Shop Net Mall Site. Please read this Web Site Hosting Agreement carefully. By SUBMITTING this form you ("StoreOwner") HEREBY AGREE to the terms and conditions stated below:

 

1. WEB SITE HOSTING SERVICES

   eSolution Online will provide to Customer ("Web Site Hosting Services") hard disk space on one of its servers where files containing text, graphics, or other visual content that meets the technical requirements specified below may be stored.

2. CUSTOMER SITE

   1. Technical Requirements. All Site custom graphics shall be delivered to eSolution Online. The StoreOwner Site may include one standard web page for product owners. The files comprising the content for the StoreOwner Site shall not exceed a total of two (2) megabytes.

   2. Updates. Member must pay for updates to their Site. Respecting graphics, StoreOwner must send them to eSolution  for processing and they will be posted within a reasonable time.

   3. StoreOwner Site Content. The StoreOwner Site shall not contain any content that implies any endorsement by or relationship with ES or SNM and shall include a disclaimer clearly stating that ES or SNM has no responsibility for the content appearing on the page.

   4. StoreOwner Warranty. StoreOwner represents and warrants to eSolution and Shop Net Mall that:

       

      1. StoreOwner owns or has the right to use any material contained in the StoreOwner Site;

      2. The use, reproduction, distribution, and transmission of the StoreOwner Site, or any information or materials contained therein, on and from  SNM does not violate any criminal laws; infringe upon or misappropriate any copyright, patent, trademark, trade secret, or any other proprietary rights of any third party; or constitute false advertising, unfair competition, defamation, an invasion of privacy, or violation of any right of publicity or of any other law or regulation.

   5. Unacceptable StoreOwner Sites. Shop Net Mall and eSolution  reserve the right to review and monitor all content submitted for or included on the StoreOwnerSite by StoreOwner, and to remove any content that either finds objectionable or inappropriate for any reason, without notice and in eSolution or Shop Net Malls' sole discretion.

   6. Indemnification. StoreOwner is solely responsible for any liability arising out of or related to the StoreOwner Site. StoreOwner shall indemnify and hold both eSolution and Shop Net Mall harmless from and against any and all liabilities, losses, damages, costs and expenses (including reasonable attorney's fees) associated with any claim or action brought against eSolution or Shop Net Mall arising out of or related to the StoreOwner or StoreOwner's breach of any of StoreOwner's representations or warranties. This indemnity obligation shall survive termination of this Agreement by either party for any reason.

3. NO BROKERING; NO COMPETITION

   StoreOwner shall not broker, resell, or otherwise provide to third parties the Web Site Hosting Services provided by eSolution or Shop Net Mall to StoreOwner under this Agreement. StoreOwner shall not use the StoreOwner Site to promote products that compete with any products of SNM.

4. FEES

   The Web Site Services will be provided at a monthly charge agreed upon by the Store Owner. Should any monthly fee not be received on a timely basis, Store Owners page will be immediately removed from SNM.

5. WARRANTY DISCLAIMER

   THE WEB SITE HOSTING SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE" BASIS. Shop Net Mall and eSolution MAKE NO REPRESENTATION OR WARRANTY AS TO THE SUITABILITY OF, OR THE RESULTS THAT MAY BE OBTAINED THROUGH, THE WEB SITE HOSTING SERVICES. eSolution and Shop Net Mall EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR USE OR PURPOSE.

6. LIMITATION OF LIABILITY

   IN LIGHT OF THE FACT THAT eSolution  IS PROVIDING THE SERVICES AT A MINIMAL CHARGE, StoreOwner AGREES THAT NEITHER SHOP NET MALL NOR eSOLUTION SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE WEB SITE HOSTING SERVICES. IN NO EVENT WILL eSOLUTION OR SHOP NET MALL  BE LIABLE FOR ANY DIRECT, INCIDENTAL, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES, EVEN IF IT HAS PREVIOUSLY BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. TERM AND TERMINATION

   1. Term. The term of this Agreement shall commence on the date this order is received and accepted by Shop Net Mall or eSolution and shall expire IMMEDIATELY after such date, that StoreOwner fails to pay his monthly fees. Any services provided shall automatically renew upon payment of ONE HALF the original SET UP FEE (to repost site) and MONTHLY FEES which should continue concurrently, each month thereafter.

   2. Termination. Either party may terminate this Arrangement for any reason on thirty (30) days notice.

8. GENERAL PROVISIONS

   1. Assignment. This Agreement may not be assigned by StoreOwner or by operation of law to any other person, firm, or corporation without the express written approval of Shop Net Mall.

   2. Governing Law. This Agreement shall be governed by and construed in accordance with the substantive laws of the State of Florida

   3. Entire Agreement. The parties have read this Agreement and agree to be bound by its terms, and further agree that it constitutes the complete and entire agreement of the parties and supersedes all previous communications, oral or written.
